Roxxi Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and Roxxi ("Roxxi," "we," "us," or "our"), operated by Saul Diaz, and govern your use of the Roxxi mobile application (the "App") and the website at roxxi.ai (together, the "Service"). By using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent that you are 18 or older and able to enter into these Terms.

2. What Roxxi is — and is not

Roxxi is an informational tool that describes what stands out about packaged grocery products, using product information from third-party sources together with Roxxi's own neutral notes. Roxxi presents information with indicators of how strong the supporting evidence is and how current the data is.

Not advice; not a safety determination.

Roxxi does not provide medical, nutritional, dietary, health, or other professional advice, and is not a substitute for the judgment of a qualified professional. Roxxi does not tell you which products to buy or avoid, does not score or rate products, and does not determine whether any product is safe or unsafe for you. Do not rely on Roxxi for decisions about your health, allergies, or dietary needs. Always read the actual product label and consult a qualified professional for advice specific to your situation. If you have a medical concern, seek the advice of a physician or other qualified health provider.

3. Accuracy of product information

Much of the product information in the Service comes from Open Food Facts, a crowdsourced, community-maintained database. That information may be incomplete, out of date, or inaccurate, and Roxxi does not independently verify all of it. Where Roxxi shows data-confidence and freshness indicators, they are estimates to aid your judgment, not guarantees. We do not warrant that any product information is accurate, complete, current, or applicable to a specific package in front of you. The authoritative source of information about a product is the product's actual label and its manufacturer.

4. Recall and safety checks

Roxxi checks public recall sources (such as openFDA and USDA/FSIS) and surfaces possible matches. Recall data is not keyed to individual barcodes, so Roxxi uses conservative matching and presents results only as a "potential match — verify with the official source," with a link to that source.

  • Roxxi does not confirm that a product is recalled, and a potential match does not mean a product is subject to a recall.
  • The absence of a match does not mean a product is not recalled; it means no match was found in the sources checked as of the date shown.
  • You must verify any recall or safety question directly with the relevant official authority (such as the FDA or USDA).

5. Third-party data and attribution

The Service incorporates data from third parties, including Open Food Facts (made available under the Open Database License (ODbL) for the database and the Database Contents License (DbCL) for its contents; product images are made available under CC-BY-SA), openFDA, and USDA/FSIS. Those sources are governed by their own licenses and terms. Roxxi is not affiliated with, endorsed by, or sponsored by these sources or by any manufacturer or brand mentioned in the Service. Product names, brands, and logos are the property of their respective owners.

6. Roxxi's intellectual property

Roxxi's original materials — including the Roxxi name and branding, the App and Site, the Roxxi Ingredient Watchlist notes, and the "Roxxi Take" summaries — are owned by Roxxi or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal, non-commercial use. Third-party data within the Service remains subject to its own license (Section 5).

7. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose or in violation of these Terms;
  • scrape, harvest, or bulk-extract data, or access the Service through automated means except as expressly permitted;
  • reverse engineer, decompile, or attempt to derive source code, except where this restriction is prohibited by law;
  • interfere with, overload, or disrupt the Service or attempt to circumvent rate limits or security features;
  • submit false, abusive, or misleading "unfound product" reports or other submissions; or
  • misrepresent your affiliation with any person or entity.

8. Accounts

Some features require an account. You are responsible for the accuracy of the information you provide and for activity under your account. Keep your credentials secure. You may delete your account at any time as described in our Privacy Policy. We may suspend or terminate accounts that violate these Terms or that we reasonably believe create risk or legal exposure.

9. Beta and pre-release versions

Parts of the Service may be offered as beta, test, or pre-release versions (including through Apple TestFlight). These are provided for evaluation, may be incomplete or unstable, may change or be discontinued, and are provided "as is." If you provide feedback, you grant us a perpetual, royalty-free license to use it without obligation to you.

10. Paid features (future)

The Service is currently offered free of charge. We may introduce paid features in the future, which will be governed by additional terms presented at that time. These Terms do not create any obligation to provide paid features.

11. Apple App Store terms

If you obtain the App through the Apple App Store, you acknowledge that these Terms are between you and Roxxi only, not Apple, and that Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the App, and any claims relating to the App will be Roxxi's responsibility, not Apple's. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a U.S.-embargoed country or on a U.S. government restricted-parties list, and you agree to comply with applicable third-party terms (such as your wireless carrier's) when using the App.

12. Disclaimer of warranties

The Service and all information in it are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that information will be accurate, complete, or current. Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.

13. Limitation of liability

To the maximum extent permitted by law, Roxxi and Saul Diaz will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service, including any reliance on information in the Service. To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars ($100).

14. Indemnification

You agree to indemnify and hold harmless Roxxi and Saul Diaz and their respective representatives from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Service or your violation of these Terms or applicable law.

15. Dispute resolution; arbitration; class-action waiver

Please read this section carefully — it affects your legal rights.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at legal@roxxi.ai and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration. If the dispute is not resolved, you and Roxxi agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by a recognized arbitration provider under its consumer arbitration rules, rather than in court, except as stated below.

Class-action waiver. You and Roxxi agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual-property rights.

Opt-out. You may opt out of this arbitration agreement by emailing legal@roxxi.ai within 30 days of first accepting these Terms, stating your intent to opt out.

16. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to Section 15, any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in San Bernardino County, California, and you consent to their jurisdiction.

17. Changes to the Service and these Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms; when we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.

18. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and Roxxi regarding the Service.
